Terms & Conditions

The terms that govern access to the RatifAIGate website and the RatifAIGate services.

Neurynae Private Limited · Version 1.1 · Last updated 9 October 2026

01Agreement and acceptance

These Terms and Conditions (the “Terms”) are between Neurynae Private Limited, an Indian private limited company having its registered office at Pakariyo, Chanho, Ranchi- 835214, Jharkhand (“Neurynae”, “we”, “us”, or “our”), and the organisation accessing the Services or the person acting for that organisation (“Customer”, “you”, or “your”). Website visitors who do not create an Account or order Services are bound only by the provisions relevant to website access, intellectual property, acceptable use, disclaimers, liability, and disputes.

The Services are offered for business and professional use, not personal, family, or household consumption. A person accepting these Terms represents that they are at least eighteen years old and authorised to bind the Customer. An Order Form, enterprise agreement, data-processing agreement (DPA), service-level agreement (SLA), or security schedule may contain additional terms.

02Definitions

Account means the Customer's registered workspace and its authorised users. Customer Content means information, prompts, instructions, files, configurations, and other material the Customer or its users submit to the Services. Output means content generated for the Customer from Customer Content. Account Data means identity, contact, role, billing, support, and administration data used to manage the relationship. Service Data means security, audit, performance, usage, and diagnostic data generated through operation of the Services. Neurynae Materials means the Services, software, Documentation, interfaces, workflows, designs, and technology supplied by or for Neurynae. Services means RatifAIGate and the related website, software, APIs, support, and Documentation identified in an Order Form.

03Eligibility and Accounts

The Services are designed primarily for business use. The Customer must provide accurate account and billing information, maintain the confidentiality of credentials and API keys, appoint authorised users, and remove access when a user no longer needs it. The Customer is responsible for activity under its Account except to the extent caused by Neurynae's failure to apply its agreed security obligations.

The Customer controls its authorised users and administrators, is responsible for assigning least-privilege access, and must promptly remove access when a user's role or relationship changes.

04Services and licence

Subject to these Terms and the applicable Order Form, Neurynae grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable subscription term to access and use the Services for the Customer's internal business operations.

Neurynae also grants website visitors a limited, revocable right to view the public website for lawful informational and business-evaluation purposes. No right is granted to copy the website, extract a database, frame or mirror pages, use Neurynae's marks, or commercially exploit website content except as expressly permitted.

05Acceptable use

The Customer must use the Services lawfully, ethically, and in accordance with the Documentation. The Customer must not, and must not permit another person to:

  • Reverse engineer, decompile, disassemble, or attempt to discover source code, except to the extent a non-waivable law permits it.
  • Copy, resell, rent, lease, sublicense, distribute, or make the Services available as a service bureau.
  • Interfere with the confidentiality, integrity, availability, security, rate limits, or access controls of the Services.
  • Upload malware, unlawful material, or data that the Customer is not authorised to process.
  • Probe, scan, test, scrape, crawl, or access systems or data without authorisation.
  • Conceal identity, impersonate another person, bypass technical restrictions, or avoid usage or security controls.
  • Use the Services to develop or benchmark a competing product, or to infringe another person's rights.
  • Use the Services for a high-risk or safety-critical decision without appropriate human review and controls.
  • Use an AI feature as a substitute for legal, medical, financial, employment, safety, or other regulated advice.

06Customer content, service data, and deployment model

As between the parties, the Customer retains its rights in Customer Content. The Customer grants Neurynae and its authorised providers a limited right during the applicable term to host, transmit, display, process, secure, and support Customer Content only as needed to provide the Services, follow documented instructions, prevent or address security and misuse, and comply with applicable law.

The Customer is responsible for the lawfulness, accuracy, quality, and authorisation of Customer Content and for giving required notices and obtaining required permissions from individuals. If Neurynae processes personal data on the Customer's behalf, the parties must execute or incorporate a DPA.

Neurynae may use Service Data to operate, secure, support, measure, and improve the Services. Neurynae will not sell personal data and will not use, or permit an AI provider to use, identifiable Customer Content to train a general-purpose model.

07AI-assisted features and outputs

RatifAIGate may generate observations, classifications, recommendations, summaries, alerts, evaluations, or other outputs using automated or AI-assisted functions. Outputs may be incomplete, inaccurate, biased, delayed, or unsuitable for a particular purpose. The Customer must independently review outputs before relying on them and remains responsible for business decisions, legal compliance, and downstream actions.

The Customer must not treat an output as professional advice or use it as the sole basis for a decision affecting a person's legal rights, employment, credit, health, safety, or access to essential services.

08Third-party services and integrations

The Services may interoperate with third-party services selected or enabled by the Customer. The Customer is responsible for its third-party accounts, permissions, instructions, and fees. A third-party service may be governed by its own terms and privacy notice. Neurynae is not responsible for a third party's acts, omissions, availability, or data practices except to the extent an Order Form expressly makes Neurynae responsible for the relevant integration.

09Trials, beta features, and previews

Neurynae may offer a free trial, Beta Feature, proof of concept, or evaluation subject to stated limits and duration. Unless an Order Form expressly says otherwise, a Beta Feature is optional, may be changed or discontinued, may contain errors, is not covered by an SLA or production warranty, and must not be used for production, regulated, or safety-critical workloads.

10Fees, taxes, renewal, and payment

Fees, currency, billing frequency, metering method, included usage, overage rates, payment method, and due date are stated in the applicable Order Form or checkout page. Unless expressly stated otherwise, fees are payable in advance, are exclusive of applicable taxes, and are non-refundable except where required by law or expressly agreed in writing.

A subscription renews automatically only if the Customer was clearly shown the renewal term, renewal price or pricing method, cancellation route, and notice requirement before acceptance. Payment providers process payments under their own terms.

11Intellectual property and feedback

As between the parties and subject to third-party rights, Neurynae or its licensors retain the rights they own or validly license in the Neurynae Materials, trademarks, and improvements. No rights are granted except those expressly stated in these Terms.

The Customer may provide suggestions or feedback. The Customer grants Neurynae a non-exclusive, worldwide, royalty-free right to use feedback to improve its products, provided that Neurynae does not disclose the Customer's Confidential Information or identify the Customer without permission.

12Confidentiality

Each party receiving non-public information must use it only to perform or receive the Services, protect it with reasonable care, and disclose it only to personnel, professional advisers, and service providers who need it and are bound by confidentiality obligations. Confidential Information does not include information that is public without breach, already lawfully known, independently developed, or lawfully received without a duty of confidentiality.

13Privacy and security

Neurynae's Privacy Policy explains its handling of personal data for the website, Accounts, support, billing contacts, and other direct interactions. The Customer must not treat the Privacy Policy as a substitute for the DPA required when Customer Content contains personal data processed on the Customer's instructions.

Neurynae will maintain reasonable technical and organisational measures appropriate to the nature of the Services and information processed. Specific controls, audit rights, incident-notice timing, and data-location commitments apply only when stated in the DPA, Order Form, SLA, or security documentation.

14Warranties and disclaimers

Each party warrants that it has authority to enter into these Terms. Neurynae warrants that it will provide a paid Service substantially as described in the applicable Documentation and Order Form, subject to maintenance, dependencies, and the agreed support process.

Except for express warranties in these Terms, the Services are provided on an as available basis. To the maximum extent permitted by law, Neurynae disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and that outputs will achieve a particular business result. Nothing excludes a warranty or liability that cannot lawfully be excluded.

15Indemnity

Neurynae will defend the Customer against a third-party claim that the paid Services, as provided by Neurynae and used as permitted, infringe that third party's intellectual-property rights in India, subject to the exclusions and remedies stated in these Terms.

The Customer will defend Neurynae against a third-party claim arising from Customer Content, the Customer's unlawful or unauthorised use of the Services, or the Customer's material breach of these Terms, subject to the notice and cooperation requirements stated in these Terms.

16Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, goodwill, anticipated savings, or business interruption arising from these Terms.

Subject to the stated exceptions, each party's aggregate liability arising from these Terms will not exceed the fees paid or payable by the Customer for the affected Services during the twelve months before the event giving rise to the claim. For a free or beta Service, the aggregate cap is INR 10,000.

17Suspension and termination

Either party may terminate an Order Form for material breach if the breach is not cured within thirty days after written notice, or immediately if the breach cannot be cured. Neurynae may suspend access narrowly and for as long as reasonably necessary to address a security risk, unlawful use, serious service abuse, or overdue undisputed fees.

On termination, the Customer's right to use the affected Service ends. Customer Content export, active-system deletion, provider deletion, and backup expiry will follow the verified periods in the Order Form and DPA and the capabilities disclosed before purchase.

18Changes to these Terms

Neurynae may update these Terms by posting a revised version and giving reasonable notice. A change will not retroactively alter a fixed paid term unless required by law or urgently needed for security. When a material change requires fresh agreement, Neurynae will obtain renewed affirmative acceptance instead of treating silence as consent.

19Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory law and any express dispute clause in an Order Form, the courts having territorial and subject-matter jurisdiction over the verified registered office in Ranchi, Jharkhand, India will have exclusive jurisdiction over disputes arising from these Terms.

20Force majeure

Neither party is liable for delay or failure caused by an event beyond its reasonable control, including natural disaster, war, civil disorder, government action, widespread telecommunications or cloud failure, labour disruption not limited to its own workforce, or utility failure, if the affected party promptly notifies the other and uses reasonable efforts to reduce the effect.

21General

Neither party may assign these Terms except to an affiliate or successor in a merger, reorganisation, or sale of substantially all relevant assets, subject to reasonable protections for the other party. The parties are independent contractors. If a provision is held invalid, it will be modified to the minimum extent necessary and the remainder will continue.

Provisions that by their nature must continue—including accrued payment obligations, ownership and licence boundaries, confidentiality, disclaimers, indemnities, liability limits, dispute terms, and record-preservation duties—survive termination.

22Notices and electronic communications

Contractual notices must be sent to the addresses or notice emails in the applicable Order Form and to Neurynae at asoni15@neurynae.com. Routine service, security, billing, and product communications may be delivered electronically to Account contacts. Each party must keep its notice details current. Legal process must be served in the manner required by applicable law.
